Terms of Service

1. Scope

These GTC apply to all business relationships between ON DUTY AI Solutions GmbH and its customers. Deviating conditions of the customer only become part of the contract if we expressly agree to them in writing.

2. Subject of the contract

The subject of the contract is the provision of AI-supported software solutions, SaaS-based analysis methods and data-driven automation processes according to the respective service description.

3. Contract conclusion

The contract is concluded by accepting our offer or by activating access to our services. All offers are subject to change unless expressly stated otherwise.

4. Scope of services

The specific scope of services results from the respective agreement. We reserve the right to further develop and improve our services. Significant changes will be communicated to customers in good time.

5. Usage rights and obligations

The customer receives the non-exclusive right to use our services according to the agreed conditions. The customer undertakes to:

• Use the services only lawfully
• Not use malicious software
• Treat access data confidentially
• Prevent misuse or unauthorized use

6. Remuneration and payment terms

The remuneration is based on the respective price list or agreement. All prices are net plus statutory VAT. Invoices are due within 14 days of receipt without deduction.

7. Availability

We strive for high availability of our services. However, we cannot guarantee 100% availability. Planned maintenance work will be announced in good time.

8. Data protection and confidentiality

Both parties undertake to maintain confidentiality. The handling of personal data is carried out in accordance with our privacy policy and the legal provisions of the GDPR.

9. Liability

We are liable without limitation for damages resulting from injury to life, body or health as well as for intentional or grossly negligent damages. Otherwise, our liability is limited to contractual, foreseeable damages.

10. Duration and termination

The contract duration and termination periods result from the respective agreement. The right to extraordinary termination for good cause remains unaffected.

11. Applicable law and jurisdiction

Austrian law applies excluding the UN Sales Convention. The place of jurisdiction for all disputes is Vienna, provided the customer is a merchant.

12. Final provisions

Should individual provisions of these GTC be ineffective, the effectiveness of the remaining provisions remains unaffected. Changes and additions require written form.
